The terms for using Sellee.

1. Definitions

“Agent Actions” means any action taken autonomously or semi-autonomously by Sellee on your behalf pursuant to your instructions or configuration, including pricing an item, writing a listing, negotiating with a buyer, accepting or requesting cancellation of a transaction before its shipping label is generated, and deleting or publishing a Listing to carousell.ai or a Third-Party Marketplace.

“AI Provider” means each third-party provider of the artificial intelligence technology used to provide the Text Sellee Service, as further described in Section 6.

“carousell.ai” means the separate marketplace, operated by us, on which a Listing created by Sellee may be published and sold, governed by the carousell.ai Terms of Service, as further described above.

“Content” means any input you provide to the Service (including photographs and messages) and any output Sellee generates in response (including listing text and negotiation messages), as further described in Section 7.

“Floor Price” means the minimum price you tell Sellee you are willing to accept for an item; Sellee negotiates with prospective buyers autonomously, within the limits you set, and will not agree to a sale below your Floor Price.

“Group” means Carousell Pte. Ltd. and its subsidiaries and affiliated companies worldwide, including Carousell Inc.

“Listing” means a listing for an item created by Sellee on your behalf on carousell.ai or a Third-Party Marketplace.

“Output” means any Listing text, negotiation message, or other content generated by Sellee on your behalf.

“Prohibited Items” means any item, business, or activity that (a) is illegal to sell, own, or ship under applicable law; (b) is counterfeit or infringes a third party’s intellectual property; (c) is dangerous, hazardous, or subject to a government or manufacturer recall; or (d) that is prohibited or restricted under the carousell.ai Terms of Service and/or under the terms of any Third-Party Marketplace on which your Listing is published.

“Sellee Local” means the self-hosted, open-source version of Sellee, that you run yourself on your own equipment and accounts, under the open-source licence described in Section 17.

“Text Sellee” means the hosted version of Sellee that we operate on our own servers, accessible at sellee.ai.

“Third-Party Marketplace” means a marketplace other than carousell.ai on which Sellee may publish a Listing on your behalf, as described in Section 10.

2. Use of the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, revocable, non-transferable right to use the Service. You shall not:

• Use the Service to list a Prohibited Item, or an item you do not have the right to sell.
• Upload or communicate Content that infringes another party's intellectual property, publicity, or privacy rights.
• Copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, decrypt, interfere with, or disrupt the integrity or performance of Text Sellee (Sellee Local's own source code is separately licensed under the Apache License 2.0, see Section 17).
• Make any modification, adaptation, improvement, enhancement, translation, or derivative work of Text Sellee.
• Remove, alter, or obscure any proprietary notice belonging to us or any of our affiliates, partners, suppliers, or licensors.
• Use the Service to create or promote a product, service, or software that is competitive with, or a substitute for, the Service.
• Attempt to circumvent, or engage in repeated or automated prompting, prompt injection, or other techniques intended to cause Sellee to disclose any seller’s Floor Price or any other confidential or sensitive information.
• Use the Service to send automated, unsolicited, or unauthorised messages, advertising, or promotional material, junk mail, spam, or chain letters, beyond what is inherent to Sellee's own negotiation function.
• Upload to, or transmit through, the Service any data, file, software, or link containing or redirecting to a virus, Trojan horse, worm, or other harmful component.
• Use any scraper, robot, bot, spider, crawler, or other automated device to access, acquire, copy, or monitor any portion of the Service beyond your own authorised use of Sellee.
• Commit any act to avoid paying a fee properly chargeable under Section 12.
• Use the Service in a manner that presents a risk of non-compliance with anti-money laundering, counter-terrorist financing, or similar regulatory obligations (see Section 3).
• Authorise or encourage anyone else to do any of the foregoing.

By sending Sellee an item to list, you represent and warrant that:

1. you are the owner of the item, and it is not stolen;
2. the item is not counterfeit and does not infringe any third party's copyright, patent, trademark, trade secret, or other intellectual property or proprietary right;
3. the sale of the item complies with all applicable laws and regulations;
4. the item is not dangerous, hazardous, or subject to a recall by a government or manufacturer;
5. the photographs, descriptions, and other information you provide to Sellee are true, complete, accurate, and not misleading; and
6. the item is not a Prohibited Item, and its sale does not otherwise breach the carousell.ai Terms of Service or the terms of any Third-Party Marketplace on which it is listed.

When you approve a Listing for publication, or instruct Sellee to publish it, you also confirm that you have reviewed it and that: (i) the item is not a Prohibited Item; and (ii) the Listing, including any Output Sellee generated for it, does not infringe any third party's intellectual property, publicity, or privacy rights. Sellee relies on these representations, warranties and confirmations, and on the photographs and information you provide, to create and publish your Listing.

Instructions to Sellee. Where these Terms refer to replying with a particular word (such as "STOP", "HELP", "PAUSE", "RESUME", "APPEAL", “PRIVACY” or "DELETE"), that word does not need to be in capital letters, and you may instead tell Sellee what you want in your own words (for example, "please stop messaging me" or "delete my data"). Sellee uses AI to understand instructions given in your own words and will act on any instruction it reasonably understands, but it may occasionally misunderstand one. If Sellee has not done what you asked, reply using the word shown in these Terms or request to connect with a human. Where your instruction is unclear, or if you ask Sellee to do something that cannot be undone (such as deleting your Content), Sellee may ask you to confirm before acting.

By using Text Sellee, you consent to receive messages, including automated and AI-generated messages, from Sellee via the channel you use to contact us for purposes including responding to your requests, managing your Listing, facilitating negotiation with prospective buyers and concluding a sale on your behalf within the Floor Price and other limits you configure. Message frequency varies.

Text Sellee is accessed by messaging Sellee's designated number through Apple's Messages app (iMessage). Where a message is delivered by SMS text message to a U.S. mobile number, message and data rates may apply. You may withdraw consent and stop receiving messages at any time by replying "STOP" (see Section 9 for more details), or replying "HELP" for help. To make a request about your personal data (for example, to access, correct, or delete it), reply "PRIVACY" and we will pass your request to our data protection team.

Sellee Local is used through your own messaging set-up (for example, Telegram or Discord), which you configure yourself and which is governed by that platform's own terms.

3. Money Laundering and Sanctions

You shall at all times comply with applicable financial recordkeeping and reporting requirements and the money laundering statutes of all applicable jurisdictions, the rules and regulations thereunder, and any related or similar rules, regulations, or guidelines issued, administered, or enforced by any governmental agency. You are prohibited from using the Service to engage in any transaction, directly or indirectly, with or for the benefit of any individual or entity located in, or ordinarily resident in, a high-risk jurisdiction designated by the Financial Action Task Force. You are further prohibited from using the Service to engage in any transaction, directly or indirectly, with or for the benefit of any individual or entity that appears on (i) the U.S. Department of the Treasury's Specially Designated Nationals and Blocked Persons List, (ii) any other restricted party list administered by the Office of Foreign Assets Control, or (iii) the U.S. Department of Commerce's Denied Persons List or Entity List.

4. Geographic Scope

Text Sellee is currently offered in the following jurisdictions, and we will update this list as Text Sellee expands to new markets:

• California, United States

We do not offer Text Sellee to, or monitor the behaviour of, and do not knowingly collect, process or hold the personal data of, individuals in the United Kingdom or European Union.

Sellee Local may be run by anyone, anywhere, since it operates on your own equipment and we have no visibility into or control over that use.

Where Sellee publishes your Listing to carousell.ai, the cross-border transaction restriction described in Section 4 of the carousell.ai Terms of Service also applies to that Listing.

5. Artificial Intelligence

Sellee uses artificial intelligence to analyse chat messages, photographs, generate listing content, publish listings and negotiate and finalise transactions with prospective buyers on your behalf. You acknowledge that AI-generated content may contain errors, omissions, bias, or inaccuracies, and that Sellee's performance may vary. We are not responsible for errors, bias, or misinterpretations by the AI, and we do not warrant that use of the Service will lead to a sale or a particular price. Output may not always be accurate, and may contain inaccuracies even where it appears plausible or well-supported.

Before publishing a Listing, Sellee may check it against carousell.ai's Prohibited Items Guidelines and relevant Third Party Platform's Prohibited Items Guidelines. This check is a safeguard, not a guarantee. It does not replace your own responsibility under Section 2 for the item's legality, and we retain the right to refuse to publish, or may remove, suspend, or unpublish, any Listing that is later found to involve a Prohibited Item, without liability to you, regardless of whether Sellee's automated check identified it beforehand.

If Sellee's automated check refuses to publish, removes, or flags your Listing under this Section, or you otherwise disagree with an Agent Action taken on your behalf:

Text Sellee: You can tell Sellee (in your own words, or by replying "APPEAL") that you disagree. We will review the decision; requesting review does not guarantee a different outcome, and we retain final discretion over any Listing or Agent Action.

Sellee Local: Because Sellee Local runs on your own equipment, you control your own agent and may override its decision. We do not review decisions made by Sellee Local. If you override any decision, you do so at your own risk and are solely responsible for the resulting Listing and Agent Action, including whether the item is a Prohibited Item. For the avoidance of doubt, overriding Sellee Local's check does not change what may be listed on carousell.ai or on any Third-Party Marketplace. The carousell.ai Terms of Service (including its rules on Prohibited Items) and the terms of that Third-Party Marketplace continue to apply, and we may refuse, remove, or take any other action in respect of a Listing that reaches carousell.ai, as described in the carousell.ai Terms of Service.

You further acknowledge that: (a) you should not rely on Sellee's pricing suggestions or negotiation output as your sole source of valuation advice; (b) you remain responsible for reviewing a Listing before it is published and for the accuracy of its final content; (c) Sellee will negotiate autonomously within the Floor Price and any other limits you configure, so you are responsible for setting those limits at a level that reflects outcomes you are willing to accept; (d) we do not warrant that use of the Service will lead to increased sales or any particular business outcome; (e) the acknowledgements, warranties, and limitations of liability that apply to Sellee's Output under these Terms apply equally to any Agent Action Sellee takes on your behalf; (f) you should not rely on any Output or Agent Action without independently confirming it, and must not use Sellee's Output for any purpose beyond listing and negotiating the sale of your item (including as financial, valuation, tax, or legal advice); and (g) you are solely responsible for reviewing and checking every Listing and Agent Action Sellee carries out on your behalf, including confirming that it reflects the price, terms, and Floor Price you intended, and, to the fullest extent permitted by law, we are not liable for any Agent Action, including one where Sellee lists, negotiates, or agrees to sell an item below your configured Floor Price.

Where Sellee Local operates a browser on your device to access a Third-Party Marketplace, it does so only after you sign in to that marketplace yourself.

6. AI Model Training and Data Usage

For Text Sellee, Sellee's AI functionality (described in Section 5) is provided by one or more third-party AI providers. We share the Content you submit through Text Sellee with our AI Providers only to the extent needed to provide the Service, and it is handled as described in our Privacy Policy. Text Sellee keeps a record of your preferences and past activity (for example, your previous Listings and how you like to negotiate), linked to your Sellee Identity, so it can personalise how it acts for you. This record is kept separately for each user and is not used to respond to other users.

For Sellee Local, the AI functionality is provided by whichever AI model or subscription you connect, and is governed by that provider's own terms. We have no control over, and are not responsible for, how that provider uses your data.

Separately, we may use Content in de-identified, aggregated form (“Anonymised Data”) to train, improve, and fine-tune Sellee's own pricing, negotiation, and listing-generation logic. Anonymised Data does not identify you or any buyer, and is processed such that it cannot reasonably be used to re-identify either of you.

7. Content

The Service allows you to create a Listing and communicate with buyers using photographs, videos, descriptions, and messages. You retain ownership of the Content you provide, but you grant us a worldwide, fully-paid, royalty-free, irrevocable, sub-licensable, and transferable licence to host, store, use, display, reproduce, modify, adapt, edit, publish, and distribute your Content and any Content Sellee generates on your behalf (subject to our Privacy Policy), for the purpose of operating, providing, and improving the Service, publishing your Listing on carousell.ai or a Third-Party Marketplace, and training, improving, and fine-tuning Sellee's own pricing, negotiation, and listing-generation logic as described in Section 6, using Anonymised Data only, as described in Section 6. To the fullest extent permitted by law, you irrevocably waive all moral rights you may have in that Content.

You are solely responsible for the Content you submit and for reviewing Sellee-generated Content before it is published. Once you approve Sellee-generated Content for publication, or instruct Sellee to publish it, you are responsible for it as if you had provided it yourself, including where it unintentionally reproduces a third party's copyrighted work, trademark, or other protected material. Any loss or damage you sustain as a result of that Content is your own responsibility.

Apart from Sellee's automated Prohibited Items check as described in Section 5, we do not pre-screen Content before Sellee publishes it on your behalf, but we may refuse, remove, or edit Content at our discretion, without liability, where we reasonably believe it breaches these Terms, is the subject of a complaint, or is otherwise objectionable. We may also block a message to or from Sellee as part of our efforts to protect the Service or its users, or to enforce these Terms.

8. Account Security and Restrictions

Text Sellee: Text Sellee has no separate sign-up screen, password, or username. The mobile number or Apple ID you message us from is how we identify you (your “Sellee Identity”), and you are responsible for all activity conducted through that number or Apple ID. If you intend to stop using that number, you should tell us by replying "DELETE" or emailing us at hello@sellee.ai, since we have no way of knowing whether the number has been reassigned to someone else. You represent that you are at least 18, and that all information you provide is accurate. We may suspend or terminate your access to Text Sellee at any time, for any reason, without advance notice.

Sellee Local: Sellee Local has no account, sign-up process, or identity system of any kind (you run it entirely on your own equipment, using your own accounts and your own AI subscription). You are solely responsible for the security of your own device, your own AI subscription, and any data you process using Sellee Local; we have no visibility into, control over, or responsibility for that processing.

9. Suspension and Termination of Services

You may stop Sellee from messaging you at any time by replying "STOP", which stops all messages immediately, including from our staff, and automatically refunds any amount you have paid (if and where applicable) for work not yet completed. Stopping messages does not delete your Content or your Sellee Identity, and you can resume using the Service by messaging us again.

Separately, you may request deletion of your Content and Sellee Identity by replying "DELETE". We will then remove your carousell.ai Listings, use reasonable efforts to request removal of any Listings we placed on Third-Party Marketplaces (see Section 10 for more information), and delete or de-identify your Content and Sellee Identity, except where we need to keep information to resolve an open dispute, to meet tax, legal or regulatory requirements, or to enforce these Terms. Copies of your conversations held by your messaging provider (for example, Apple) are governed by that provider's own policies. It is your responsibility to back up any Content you wish to keep.

You may also pause Sellee's negotiation on a Listing at any time (by replying “PAUSE,” or simply telling Sellee in your own words that you want it to pause), which stops Sellee from taking further Agent Actions on that Listing until you tell it to resume (for example, by replying “RESUME”). Pausing does not remove your Listing from carousell.ai or any Third-Party Marketplace, and does not affect a negotiation Sellee has already completed before the pause took effect.

We may, at our sole discretion and without liability: (a) suspend or terminate your access to Text Sellee, in whole or in part, for any breach of these Terms or as we deem necessary to comply with applicable sanctions; (b) suspend or terminate your access at any time, for any reason, without advance notice; (c) modify, suspend, or discontinue Text Sellee, in whole or in part, at any time, for any reason, without advance notice; and (d) suspend or terminate your access in the event of any threat of, or actual, verbal or written abuse directed at our staff or representatives. We are not liable for any loss or damage you incur as a result of these actions. Upon termination, all rights granted to you under these Terms immediately cease.

10. Third-Party Services

In addition to publishing your Listing on carousell.ai, Sellee may (under your instructions) publish your Listing on one or more third-party marketplaces (currently, this includes Facebook Marketplace and Craigslist).

If you use Text Sellee, we will publish and manage those Listings using an account held by us, and any sale is completed through checkout on carousell.ai unless you choose to arrange payment and delivery yourself.

If you use Sellee Local, Sellee publishes those Listings using your own account on that marketplace, which you sign in to yourself. You are responsible for complying with that marketplace's terms, and Sellee never receives your login details.

You acknowledge that: (a) each Third-Party Marketplace has its own terms of service governing content and conduct; (b) we cannot guarantee the availability, continued operation, or continued acceptance of any Third-Party Marketplace, and are not liable if a Third-Party Marketplace suspends, restricts, or bans the account under which your Listing is posted; (c) on request to delete your data or discontinue the Service, we will use reasonable efforts to remove or request removal of your Listing from any Third-Party Marketplace on which it was published, but cannot guarantee removal of every copy of it, including copies cached, saved, or shared by others, on a platform we do not control; and (d) this feature may be modified, suspended, or discontinued by us at any time.

11. Privacy, Security and Confidentiality

Your use of Sellee is subject to our Privacy Policy. We use third-party sub-processors, including our AI Providers described in Section 6 and Stripe (for the payment steps described in the carousell.ai Terms of Service), to provide the Service. Using the Service automatically creates a linked guest account with carousell.ai, so Sellee can act on your behalf (for Text Sellee, this uses the mobile number or Apple ID you already message us from; for Sellee Local, your country). See Section 8 for how your identity works.

You represent and warrant that you have obtained all consents and given all notices required under applicable data protection law before sharing a buyer's or any other person's personal data with Sellee, and that you will not use the Service in a manner that would cause us to violate applicable data protection law.

If you receive another person's personal data through the Service (for example, a buyer's delivery address) (the “Disclosing Party”), you agree that you will ensure compliance with all applicable data protection laws and in particular will:

• collect, use, process, and disclose that personal data only for the purpose for which it was shared, and in compliance with applicable data protection law and in a manner that does not cause us to be in breach of our own obligations under applicable data protection law;
• not transfer that personal data outside the country in which it was collected without the Disclosing Party’s prior written consent; where consent is given, ensure the personal data is protected, once transferred, at a standard comparable to that required under applicable data protection law, and procure that any third party to which you transfer it overseas undertakes to adhere to the same;
• protect that personal data in your control or possession by making reasonable security arrangements (including, where appropriate, physical, administrative, procedural, and information and communications technology measures) to prevent unauthorised or accidental access, collection, use, disclosure, copying, modification, disposal, or destruction of it, or other similar risks;
• put in place adequate measures to ensure that personal data in your possession or control remains, or is otherwise, accurate and complete, and take steps to correct any error in it as soon as practicable upon the Disclosing Party’s written request;
• allow the Disclosing Party access to the personal data you have collected about them; and not retain it for longer than necessary to complete the transaction, and delete or return it upon request, except where a legal or regulatory requirement requires you to keep it longer. Also, where applicable, instruct any third party to whom you have disclosed that personal data for the agreed purpose to return it to the Disclosing Party or delete it, in each case, in compliance with, and where required by, applicable law.

We act solely as your data intermediary with respect to any buyer personal data processed through the Service, have no direct relationship with your buyers, and are not responsible for responding to a buyer's own data-protection requests (that responsibility remains yours).

12. Fees and Payment

Text Sellee and Sellee Local are provided free of charge as at the date of these Terms. For the avoidance of doubt, this does not cover any separate platform, processing, or other fees that may be charged by a Third-Party Marketplace or under the carousell.ai Terms of Service. You should refer to those terms for the fees that apply there.

We may introduce a fee for any part of the Service that is currently free, or vary, add to, or otherwise amend any fee described in these Terms, at any time and at our sole discretion. We will notify you of any such change by posting an updated notice on the Service or by email; your continued use of the Service after that notice takes effect constitutes your acceptance of the revised fees, consistent with the general right to amend these Terms described above.

13. Disclosure to Related Companies and Affiliates

Sellee is part of our Group. We may share your Content with our related companies for the following purposes: (a) to enable those companies to provide, support, or host the Service; (b) to develop, train, and improve the Service and the Group's AI models and algorithms, using Anonymised Data only (as defined in our Privacy Policy); (c) for internal reporting, billing, risk management, and legal compliance; and (d) to facilitate and confirm a transaction that involves both Sellee and carousell.ai or another Group platform.

14. Sellee Is a Listing and Communication Tool

Sellee helps you list an item and communicate with prospective buyers. It does not pre-screen buyers or the Content of their messages, and is not directly involved in the transaction itself. Consequently, we have no control over, and you agree that we are not responsible or liable for, any of the following:

• The quality, safety, morality, legality, or authenticity of any item you list.
• The truth or accuracy of a Listing, or your ability to sell or trade the item.
• A buyer's ability or willingness to pay, or the conduct of any buyer or third party you interact with through the Service.
• Any Content posted by a buyer.

You are encouraged to exercise good judgment in any interaction Sellee facilitates on your behalf, including by setting an appropriate Floor Price and reviewing Sellee's negotiation output. Your use of the Service is at your own risk.

15. Warranties and Disclaimers

The Service is provided on an “as is” and “as available” basis, and your use of or reliance on the Service is at your own risk and discretion.

We do not represent or warrant that:

1. use of the Service will be secure, timely, uninterrupted, or error-free, or that it will be compatible with any device, software, or system;
2. the Service will meet your requirements or expectations;
3. errors or defects in the Service will be corrected;
4. the Service is free of viruses or other harmful components; or
5. use of AI will always produce non-biased, accurate, or reliable results.

All implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, are excluded to the fullest extent permitted by law.

The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications, including problems inherent to the device you use to message Sellee; we are not responsible for any delay, failure, damage, or loss resulting from such problems. No advice or information you obtain from Sellee, whether oral or written, creates any warranty not expressly stated in these Terms, and we have no obligation to support or maintain the Service. We are not responsible for any third-party content or service associated with the Service, including a Third-Party Marketplace's own failure or unavailability.

16. Discontinuation of Service and Limitation of Liability

YOUR ONLY REMEDY FOR ANY PROBLEM WITH, OR DISSATISFACTION IN RELATION TO, THE SERVICE IS TO STOP USING IT.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, ANY AI-ASSISTED FEATURE, OR ANY THIRD-PARTY CONTENT OR SERVICE, WHETHER OR NOT SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY TO YOU (WHETHER UNDER CONTRACT, TORT, STATUTE, OR OTHERWISE) WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US FOR THE SERVICE IN THE SIX MONTHS PRECEDING THE DATE THE CLAIM FIRST AROSE, OR (B) US$100, AND THIS LIMIT WILL APPLY EVEN IF THAT REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

NOTHING IN THESE TERMS LIMITS OR EXCLUDES OUR LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

17. Intellectual Property

As between you and us, we retain all rights, title, and interest in Text Sellee, including its source code, architecture, and AI system. You are not granted any intellectual property rights beyond what is expressly granted in these Terms.

Text Sellee may use or include third-party software subject to open-source or other third-party licence terms (“Third-Party Software”). Your right to use any Third-Party Software as part of the Service is governed by the licence terms applicable to it, which will prevail over these Terms to the extent of any conflict. Text Sellee itself is not, and no part of it is to be treated as, open-source or publicly available software.

Sellee Local is provided “as is” and without warranty of any kind, to the maximum extent permitted by the terms of its open-source licence (Apache License 2.0). We disclaim all liability arising from your download, installation, modification, or use of Sellee Local on your own equipment. Sellee's safeguards (including its Prohibited Items check, its Floor Price protections and its limits on the data it stores) are designed to work only with the unmodified source code. If you, or anyone acting for you, change Sellee Local's code, skills, safeguards or data-storage functions, you do so entirely at your own risk, and you are solely responsible for the consequences, including any breach of a Third-Party Marketplace's terms or of applicable data protection law.

Sellee Local's source code is published at github.com/carousell/sellee. Your use of that code is governed by its open-source licence, not by these Terms.

You are not authorised to use Carousell's trademarks in any advertising, publicity, or other commercial manner without our prior written consent, which we may withhold for any or no reason.

We respect the intellectual property rights of others and expect the same of you. If you believe your intellectual property rights have been infringed by a Listing or other Content on the Service, please contact us at hello@sellee.ai to report it.

We may suspend or terminate your access to the Service if you are the subject of repeated complaints of intellectual property infringement.

18. Indemnity

You will indemnify and hold harmless us, our affiliates, and our and their officers, employees, and agents from any claim, loss, or expense arising from: (a) your use of the Service; (b) your Content, including any Output that you approved for publication or that Sellee published on your instructions; (c) any use of your Sellee Identity described in Section 8; (d) your breach of these Terms; (e) your breach of any legal or statutory requirement, duty, or law; (f) your violation of any right of another person or entity; or (g) any Agent Action taken in accordance with your configuration or instructions under Section 5.

You agree that we may take any of the actions described in these Terms in response to a good-faith complaint from a third party about your Listing or Content, and that we will not be liable to you for any action we take in reasonable reliance on such a complaint.

19. Miscellaneous

These Terms do not create any agency, partnership, joint venture, employer–employee, or franchisor–franchisee relationship between you and us, and we are each independent contractors.

If any provision of these Terms is unenforceable, the remaining provisions continue in effect. No failure by us to exercise a right or require performance of an obligation under these Terms affects our ability to do so later, and waiving one breach does not waive any later breach. You may not assign your rights or delegate your obligations under these Terms without our prior written consent; any attempted assignment or delegation in breach of this is void. These Terms are the entire agreement between you and us regarding the Service, and supersede any prior agreement on the same subject.

20. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference into this clause. The seat of the arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.

21. Feedback

If you send us feedback about the Service (for example, a correction, a complaint, or a suggestion for how Sellee could work better), you agree that we may use that feedback for any purpose, including to develop, train, and improve the Service (provided that any personal information in your feedback is used for training only as Anonymised Data, as described in our Privacy Policy), without any obligation, attribution, or payment to you.
